By using Honesty Industries' services, website, or any associated platforms, you agree to comply with and be legally bound by these Terms and Conditions, our Privacy Policy (available at privacypolicy.html), and all applicable laws and regulations of India.

These Terms may be updated from time to time at our sole discretion. We will endeavor to notify you of material changes via email or a prominent notice on our website. Your continued use of our services after any changes constitutes acceptance of the revised Terms.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, and "you" shall refer to such entity.

Honesty Industries provides a range of industrial products, supply chain services, distribution solutions, and business consultancy services. All services are subject to availability and may be modified, suspended, or discontinued at our discretion.

Services Include (but are not limited to):

• Industrial product supply and distribution across India
• Procurement and sourcing services for business clients
• Quality assurance and product inspection services
• Business consultancy and advisory services
• Trade facilitation and logistics coordination
• Customer support and after-sales services

We reserve the right to add, modify, or discontinue any service at any time with reasonable notice to affected clients. Service descriptions, specifications, and pricing are subject to change without prior notice unless otherwise agreed in a signed contract.

To use our services, you must be at least 18 years of age and possess the legal capacity to enter into binding contracts under the laws of India. If you are using our services on behalf of a business entity, you warrant that the entity is duly registered and authorized to conduct business.

You agree to:

• Provide accurate, current, and complete information when engaging with us
• Update your information promptly if it changes
• Use our services only for lawful purposes consistent with applicable law
• Not misrepresent your identity, affiliation, or purpose
• Maintain the confidentiality of any account credentials provided to you
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable local, state, national, and international laws and regulations

All orders are subject to acceptance by Honesty Industries. A purchase order or inquiry submitted by you does not constitute a binding contract until confirmed in writing by an authorized representative of Honesty Industries.

Quotations & Pricing

• All quotations provided are valid for the period specified in the quote, or 30 days if not specified
• Prices are subject to change due to market conditions, supplier costs, or currency fluctuations
• All prices are exclusive of GST and other applicable taxes unless explicitly stated otherwise
• Shipping and handling charges will be specified separately in the quotation

Payment Terms

• Payment terms will be specified in each invoice or purchase agreement
• Standard payment terms are advance payment unless credit terms have been agreed upon in writing
• Late payments may attract interest charges at the rate of 18% per annum or as specified in the agreement
• We accept payment via bank transfer, cheque, and other methods as mutually agreed
• All payments must be made in Indian Rupees (INR) unless otherwise specified

Honesty Industries will make every reasonable effort to deliver products and services within the agreed timeframes. However, delivery dates are estimates and are not guaranteed unless explicitly stated in writing.

• Risk of loss or damage passes to the client upon delivery of goods to the specified location
• Honesty Industries is not liable for delays caused by force majeure events, including natural disasters, strikes, or government actions
• Partial deliveries may be made where circumstances require, and each partial delivery will be separately invoiced
• The client is responsible for providing accurate delivery addresses and ensuring availability to receive goods
• Any damages or discrepancies must be reported within 48 hours of delivery

Honesty Industries is committed to delivering products that meet the agreed specifications and quality standards. Our warranty obligations are as follows:

• Products are warranted to be free from defects in materials and workmanship at the time of delivery
• Specific warranty periods will be stated in the product documentation or purchase agreement
• Warranty claims must be submitted in writing within the warranty period with supporting documentation
• The warranty does not cover defects caused by misuse, modification, or improper storage by the client
• Our obligation under warranty is limited to replacement or repair of defective products at our discretion

Our returns and refund policy is designed to be fair and transparent, consistent with our core values of honesty and client satisfaction.

Returns

• Returns are accepted within 7 days of delivery for products that are defective or not as per specification
• Products must be returned in their original packaging and condition
• Return shipping costs will be borne by Honesty Industries for defective products and by the client for change-of-mind returns
• Custom or specially manufactured products are non-returnable unless defective

Refunds

• Refunds will be processed within 14 business days of receiving returned goods and verifying their condition
• Refunds will be issued via the same payment method used for the original transaction
• Service fees are non-refundable once the service has been rendered

Order Cancellations

• Orders may be cancelled within 24 hours of placement without penalty
• Cancellations after 24 hours may be subject to a cancellation fee as specified in the purchase agreement
• Custom orders cannot be cancelled once production has commenced

All content on the Honesty Industries website, including but not limited to text, graphics, logos, images, and software, is the property of Honesty Industries or its content suppliers and is protected by applicable intellectual property laws.

• You may not reproduce, distribute, or create derivative works from our content without express written permission
• The Honesty Industries name, logo, and brand elements are registered trademarks and may not be used without authorization
• Any feedback or suggestions you provide to us may be used by us without obligation to you
• You grant us a non-exclusive license to use any content you share with us for business purposes

To the maximum extent permitted by applicable law, Honesty Industries shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claims arising from your use of our services shall not exceed the total amount paid by you to Honesty Industries in the 12 months preceding the claim.

Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

By engaging with our services, you authorize Honesty Industries to communicate with you using the contact details provided. You may withdraw this consent at any time, subject to reasonable notice, without affecting the validity of any transactions completed prior to withdrawal.

• You may receive transactional communications that are essential to your service relationship with us
• Marketing and promotional communications are sent only with your consent and can be opted out of at any time
• We will handle all your communication preferences with respect and in accordance with our Privacy Policy

Honesty Industries reserves the right to terminate or suspend services to any client at our sole discretion, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to us, other clients, or third parties.

Upon termination:

• All outstanding payments become immediately due and payable
• Any pending orders may be cancelled with appropriate refund adjustments
• Sections relating to intellectual property, limitation of liability, and governing law survive termination
• You may terminate your relationship with us at any time by providing written notice, subject to fulfillment of existing obligations

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, specifically the laws of the State of West Bengal. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

Dispute Resolution Process

• Step 1 - Negotiation: Parties shall first attempt to resolve disputes amicably through direct negotiation within 30 days of notice
• Step 2 - Mediation: If negotiation fails, parties shall attempt mediation through a mutually agreed mediator
• Step 3 - Arbitration: Unresolved disputes shall be submitted to binding arbitration in Kolkata under the Arbitration and Conciliation Act, 1996
• Step 4 - Litigation: Either party may seek injunctive relief from courts to prevent irreparable harm while arbitration proceeds
